iClick Interactive Asia Group Limited Announces Appointment of
Two New Members to its Board of Directors
Hong Kong, May 29, 2019 iClick Interactive Asia Group Limited (iClick or the Company) (NASDAQ: ICLK), an independent online marketing and enterprise data solutions provider in China, today announced the appointment of two new members to its board of directors, who will officially take up their roles on July 1, 2019.
The two new directors are Lub Bun Chong and Terence Li. Mr. Chong will also join the Companys audit committee while Mr. Li will continue to serve the Company as Chief Financial Officer.
Mr. Chong is currently a partner of C Consultancy Limited, a Hong Kong-based corporate and financial advisory firm which specializes in the advertising, digital and media sectors of China and Southeast Asia. Lub Bun is the author of Managing a Chinese Partner (published by Palgrave Macmillan) and a contributor of China articles to reputable publications. Prior to founding C Consultancy, he was the Chief Financial Officer and the Director of Mergers and Acquisitions of Clear Media (00100.HK), and the Chief Financial Officer of Focus Media (002027.SZ). Lub Bun previously worked at PricewaterhouseCoopers in China, Hong Kong and Singapore during the 1990s.
Terence Li, who joined iClick in 2018, was previously a Vice President with iClicks Series A investor, Sumitomo Corporation Equity Asia. Terence served on the iClicks board between 2009 and 2013 representing Sumitomo Corporation Equity Asia. Terence has served as Chief Financial Officer of the Company since January 1, 2019.
Sammy Hsieh, Co-founder and CEO of iClick said, I welcome Lub Bun and Terence to our board. Their industry experience and professional networks will bring significant value to iClicks overall business growth and the development of its marketing solutions business. Lub Buns relevant industry experience in particular will be strategically important to our business development in Southeast Asia.
iClick today also announced Ricky Ngs departure from the Companys board of directors, effective May 28, 2019. His departure was not due to any disagreement with the company. Ricky has played an important role in the early development of iClicks business. The board wishes him success in his future endeavors, said Hsieh.

Reports 2019 First-Quarter Unaudited Financial Results
Robust Start and Significant Progress in Enterprise Solutions

During the first quarter, we reported record-high gross profit and substantial growth in adjusted EBITDA on a solid revenue increase, said Sammy Hsieh, Chief Executive Officer and Co-Founder of iClick. As we celebrate our 10th anniversary year, we continue to make progress toward achieving our long-term goal of transforming iClick into a CRM and Marketing Cloud Platform that provides a fully-integrated solution to help our clients address their sales and marketing challenges in China.
We also recently announced two milestone agreements that further advance the development of our CRM and Marketing Cloud platform, Hsieh said. In the Enterprise Solutions business, we signed a strategic partnership agreement with BTG WELINK, the online retail services arm of Beijing Tourism Group, one of the top ten tourism service groups in China, and Tencent, to unleash the potential of smart retail by establishing a new customer relationship management system.
In the Marketing Solutions business, we recently announced to form a joint venture with VGI Global Media in Thailand that will add more diversity to iClicks geographic reach in a high-growth region. We believe both agreements will help contribute to our future growth and profitability, Hsieh said.

First Quarter 2019 Results:
Revenue for the first quarter of 2019 grew to US$39.2 million, up 11% from US$35.2 million for the same period last year, attributable to contributions from existing marketing solutions and the Companys new enterprise solutions, partially offset by depreciation of the Renminbi against the US dollar by 7% compared with the first quarter of 2018. On a currency-neutral basis, the revenue increased 19% at US$41.8 million for the first quarter of 2019 compared with the same period last year.
Revenue from marketing solutions grew to US$37.8 million for the first quarter of 2019, up 7% from US$35.2 million for the first quarter of 2018, primarily as the result of growing market demand from marketers. On a currency-neutral basis, the revenue increased 15% at US$40.4 million for the first quarter of 2019 compared with the same period last year.
Revenue from Enterprise solutions was US$1.5 million for the first quarter of 2019.
Gross profit for the quarter ended March 31, 2019 increased 53% to US$12.4 million, compared with US$8.1 million for the quarter ended March 31, 2018, mainly due to improvements in gross profit margin from the Companys marketing solutions, and contribution from higher margin enterprise solutions.
Total operating expenses were US$14.6 million for the first quarter of 2019, compared with US$9.9 million for the first quarter of 2018, primarily attributable to the expenses incurred for new business development, increase in marketing activities and higher incentives for sales personnel.
Operating loss was US$2.2 million for the first quarter of 2019, compared with an operating loss of US$1.7 million for the prior-year period, as a result of higher expenses incurred for new business development.
Net loss totalled US$2.5 million for the 2019 first quarter, compared with US$112,000 for the 2018 first quarter, as a result of the decrease of exchange gain of US$1.9 million compared with the first quarter of 2018, and the fair value losses on convertible notes of US$1.0 million in the first quarter of 2019.
Net loss attributable to the Companys shareholders per basic and diluted ADS was US$0.0379, compared with a net loss per basic and diluted ADS of US$0.0021 for the first quarter of 2018.
Adjusted EBITDA for the first quarter of 2019 improved to US$538,000, compared with US$409,000 for the first quarter of 2018, resulting from the increase in gross profit. For a reconciliation of the Companys adjusted EBITDA to net loss, its most comparable GAAP measure, please refer to Unaudited Reconciliations of GAAP and Non-GAAP Results.
Adjusted net loss attributable to the Companys shareholders, which excludes share-based compensation expenses, fair value losses on convertible notes, and other gains, for the 2019 first quarter reduced to US$1.2 million, compared with US$1.4 million for the 2018 first quarter. For a reconciliation of the Companys adjusted net loss to net loss, its most comparable GAAP measure, please refer to Unaudited Reconciliations of GAAP and Non-GAAP Results.
Gross billing2 grew to US$96.3 million for the first quarter ended March 31, 2019, up from US$91.9 million last year. It is primarily as a result of increasing demand, partially offset by depreciation of the Renminbi against the US dollar by 7% compared with a year ago. The gross billing increased 12% on a currency-neutral basis at US$102.5 million for the first quarter of 2019 compared with a year ago.
As of March 31, 2019, the Company had cash and equivalents of US$44.7 million, compared with $39.8 million as of December 31, 2018.
Outlook
Based on the information available as of the date of this press release, iClick provided the following outlook for the second quarter of 2019 and the following outlook for the 2019 full year:
Second Quarter 2019:
· Revenue is estimated to be between US$46 million and US$50 million.
· Gross profit margin is estimated to be between 26% and 28%.
Full Year 2019:
· Revenue is estimated to be between US$200 million and US$220 million.
· Gross profit margin is estimated to be between 28% and 30%.

3 The Company adopted the new leasing guidance (ASU 2016-02) started from January 1, 2019, which requires that a lessee recognize the assets and liabilities that arise from operating leases. The Company recognized a right-of-use asset and a liability relating to lease payments (the Lease Liability) in the consolidated balance sheets for lease contracts having terms beyond 12 months period. The adoption of new leasing guidance resulted in recognition of US$2.3 million of right-of-use assets and US$2.4 million of lease liabilities, respectively, as of March 31, 2019. The consolidated financial information related to periods prior to January 1, 2019 were not restated, and continue to be reported under ASC Topic 840 Leases.
